AIR DASH APP AND WEBSITE TERMS AND CONDITIONS 

ONLINE INDEMNITY AND LIABILITY WAIVER AGREEMENT 

FOR AIR DASH AIRCRAFT TRAVEL SERVICE 

READ CAREFULLY – THIS IS A LEGAL AGREEMENT AFFECTING YOUR RIGHTS 
 

This Agreement (the "Terms") governs the use of the Air Dash mobile application (the "App") and websites owned and/or controlled by or on behalf of Air Dash (the "Website") (collectively, the "Service"). 
 

1. AGREEMENT TO TERMS 
BY INSTALLING OR OTHERWISE ACCESSING OR USING THE APP AND/OR USING THE WEBSITE, USER AGREES THAT USER HAS READ, UNDERSTANDS, AND AGREES TO BE BOUND BY AND ACT IN ACCORDANCE WITH THESE TERMS. USE OF THE SERVICE IS FURTHER SUBJECT TO AIR DASH'S PRIVACY POLICY, WHICH CAN BE VIEWED ON THE WEBSITE. 
 

2. GENERAL PROVISIONS 
(a) Acceptance of Use: The Service is owned by Air Dash and operated by Roraima Airways and Jags Aviation, which reserves the right to revise these Terms at any time. Any such revisions shall be effective upon posting and notification to the User. Continued use of the Service after notification constitutes User’s acceptance of the revised Terms. 

(b) Eligibility: By using or opening an account on the Service (an "Account") on behalf of a User or as an agent of an entity (each, a "Subscribing Entity"), User represents and warrants that they are at least 18 years of age and an authorized representative with the authority to bind the Subscribing Entity to these Terms. 
 

3. REGISTRATION AND USE 
(a) Use and Purchases: Use of the Service is not free; purchases must be made in U.S. Dollars using accepted payment methods. Air Dash does allow the use of third-party credit cards. Users may receive "Air Dash Credits" through promotions or referrals, which may be redeemed for future purchases. These credits expire twelve (12) months following the date of receipt. 

(b) Log In Credentials: Users must provide certain personal information, including but not limited to an email address and password. Air Dash will store and use this information per its Privacy Policy. Users must maintain the confidentiality of their log-in credentials and notify Air Dash immediately in the event of a security breach. 

(c) Accuracy of Information: Users must ensure all information provided is accurate and up to date. Air Dash reserves the right to terminate any Account containing false or misleading information. 
 

4. INTELLECTUAL PROPERTY RIGHTS 
(a) Ownership: All content within the Service, including but not limited to text, graphics, software, and designs, is the property of Air Dash and protected under intellectual property laws. 

(b) Prohibited Use: Users may not: 
(i) Copy, reproduce, or distribute Service content. 
(ii) Use automated means to access Service content without authorization. 
(iii) Circumvent access controls or security measures. 
(iv) Use the Service for unlawful, fraudulent, or speculative purposes. 
 

5. Acknowledgment and Assumption of Risk 
By clicking “I AGREE,” Passenger expressly acknowledges and agrees that: 
• Air Dash is NOT an air carrier, air operator, or service provider and does not own, maintain, or operate any helicopters or aircraft. 
• All flights marketed or promoted by Air Dash are provided by Roraima Airlines Ltd or Jags Aviation., independent third-party operators. 
• Air Dash does not control the operations, maintenance, safety, crew training, or flight execution of services provided by Roraima Airlines Ltd nor Jags Aviation. 
• Passenger voluntarily assumes all risks associated with aircraft  travel, including but not limited to risks of injury, death, property damage, mechanical failure, pilot error, weather hazards, emergency landings, turbulence, and force majeure events 
 

6. Waiver and Release of Liability 
To the fullest extent permitted by law, Passenger fully and irrevocably waives, releases, and forever discharges: Air Dash LLC, its affiliates, officers, directors, owners, employees, agents, representatives, successors, and assigns (the “Released Parties”) from any and all claims, demands, damages, liabilities, costs, expenses, lawsuits, or causes of action, including but not limited to those arising from injury, death, property damage, or any other harm related to the use of aircraft services. Passenger further acknowledges that Air Dash bears no responsibility or liability for any actions, negligence, or misconduct of Roraima Airlines Ltd nor Jags Aviation., including but not limited to: 

• Accidents, malfunctions, or mechanical failures of any aircraft used for the service. 
• Pilot errors, operational changes, or flight cancellations made by Roraima Airlines Ltd or Jags Aviation. 
• Delays, weather-related incidents, or any unforeseen circumstances. 
 

7. Indemnification and Hold Harmless 
Passenger agrees to indemnify, defend, and hold harmless the Released Parties from and against any claims, damages, liabilities, legal fees, and costs arising from: 
• Any claim brought by Passenger or a third party related to Passenger’s use of the aircraft service. 
• Any injury, death, or property loss occurring during a flight operated by Roraima Airlines Ltd or Jags Aviation. 
• Any breach of this Agreement by Passenger. 

• (a) Indemnification by User: User agrees to indemnify, defend, and hold harmless Air Dash, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, demands, actions, losses, liabilities, damages, expenses (including reasonable attorneys’ fees), or costs arising out of or in connection with: 

• (i) User’s use of the Service, including any content or materials obtained through the Service; 
• (ii) User’s violation of these Terms or any applicable laws, rules, or regulations; 
• (iii) User’s breach of any representations, warranties, or covenants made under these Terms; 
• (iv) Any third-party claims arising out of User’s actions or omissions while using the Service. 

(b) Survival: This indemnification obligation will survive the termination or expiration of this Agreement and the User's use of the Service. 
 

8. No Warranties; No Guarantees 
Passenger acknowledges that: 
• Air Dash makes no representations, warranties, or guarantees regarding the safety, condition, operation, or fitness of aircraft operated by Roraima Airlines Ltd or Jags Aviation. 
• Air Dash is not responsible for flight schedules, cancellations, or operational decisions made by Roraima Airlines Ltd or Jags Aviation. 
 

9. Governing Law and Jurisdiction 
This Indemnity and Liability Waiver Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the Co-operative Republic of Guyana, without regard to any conflict of law principles that would result in the application of any other jurisdiction’s laws. 

Jurisdiction and Venue: Any dispute, claim, or controversy arising out of or relating to this Agreement, including its formation, performance, interpretation, or enforcement, shall be subject to the exclusive jurisdiction of the courts of Guyana. The parties irrevocably submit to the personal jurisdiction of the High Court of the Supreme Court of Judicature of Guyana and waive any objections to venue or inconvenient forum. 
 

10. Waiver of Jury Trial and Class Action: 
To the fullest extent permitted by law, Passenger agrees to waive any right to a trial by jury and acknowledges that any disputes shall be resolved on an individual basis and not as part of any class, consolidated, or representative action. 
Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect 
 

11. LIMITATION OF LIABILITY 
(a) No Warranties: AIR DASH MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE OR ANY CONTENT, DATA, SOFTWARE, MATERIALS, INFORMATION, PRODUCTS, OR SERVICES PROVIDED THEREIN. 
(b) Exclusion of Liability: AIR DASH SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE. 
 

12. RESERVATIONS AND PAYMENTS 
Flight Reservations: Flights displayed on the App and Website are available for booking. Reservations are not confirmed until full payment is received, and a confirmation email is sent to the User. 
Additional Costs: Flight fares do not include incidental costs such as after-hours operations, facility fees, or excess baggage charges. Users shall be responsible for these costs. 
 

13. FLIGHT POLICIES 
Luggage: Each passenger may bring one carry-on bag (25 lbs maximum). Additional baggage requires prior approval and may incur additional charges. 
Passenger Weight: Weight limits may vary depending on the aircraft in operation. For safety and balance purposes, all passengers are required to provide accurate weight information at the time of booking. In some cases, passengers may be asked to purchase an additional seat or adjust their travel based on aircraft limitations. 
Pets: Small pets (under 20 lbs) are allowed in FAA-approved carriers with prior notice. 
Late Passengers: Users must arrive at least 15 minutes before departure. Air Dash is not obligated to wait for late passengers, and refunds are not issued for missed flights. 
 

14. CANCELLATIONS AND REFUNDS 
User Cancellations: 
Full refunds are available for cancellations made more than three (3) days before the scheduled departure; 
Cancellations made within one (1) day of departure may be eligible for Air Dash Credits; 
No refunds shall be issued for no-shows or late arrivals. 
Air Dash Cancellations: Air Dash reserves the right to cancel flights due to weather, operational concerns, or other unforeseen circumstances. Refunds shall be issued in Air Dash Credits. 
 

15. DISPUTE RESOLUTION 
Arbitration Clause: Any disputes arising from these Terms shall be resolved through binding arbitration conducted in accordance with the laws of the United States of America. Users waive the right to class-action lawsuits. 
 

16. MEDIA RELEASE AND CONSENT 

By utilizing Air Dash’s aircraft services, you (“Passenger”) grant Air Dash, its affiliates, representatives, and agents the irrevocable right and permission to record, photograph, and/or videotape you during the course of your flight or while on Air Dash premises. You acknowledge and agree that any such photographs, videos, or other media content (“Media”) may be used by Air Dash for promotional, advertising, marketing, and social media purposes, including but not limited to posts on platforms such as Instagram, Facebook, TikTok, YouTube, and Twitter, without any further consent, compensation, or notice. 
 

You hereby waive any right to inspect or approve the finished Media or any printed or digital materials that may be used in connection therewith. You also release and discharge Air Dash from any claims, demands, or causes of action that you may have by reason of this authorization, including claims for libel, defamation, invasion of privacy, or violation of publicity rights. 

If you do not wish to be recorded or photographed, please notify an Air Dash representative prior to your flight. Air Dash will make reasonable efforts to honor such requests but cannot guarantee exclusion from all Media.
